Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Fattorty platform, including our website, mobile applications, and API (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully. If you do not agree to these Terms, you may not use the Service.

1. Definitions

  • "Fattorty," "we," "our," or "us" — the company operating the Service
  • "User," "you," or "your" — any individual or entity accessing or using the Service
  • "Account" — your registered account on the Fattorty platform
  • "Content" — data, text, invoices, and other materials you submit through the Service
  • "ZATCA" — Zakat, Tax and Customs Authority of the Kingdom of Saudi Arabia
  • "Subscription" — a paid plan granting access to Premium features

2. Account Terms

2.1 Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Be a legal entity or individual authorized to conduct business in the Kingdom of Saudi Arabia
  • Provide accurate, complete, and current registration information
  • Maintain a valid VAT registration number if using ZATCA production features

2.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Immediately notifying us of any unauthorized use at [email protected]
  • Using strong, unique passwords and enabling multi-factor authentication where available

We are not liable for losses resulting from unauthorized account access due to your failure to safeguard credentials.

2.3 Account Information Accuracy

You must keep your account information accurate and up to date. Providing false information — including false business registration details or VAT numbers — is a material breach of these Terms and may result in immediate account termination.

3. Acceptable Use

3.1 Permitted Use

You may use the Service solely for:

  • Creating, managing, and transmitting ZATCA-compliant e-invoices for your legitimate business operations
  • Managing your business's product and customer data within the platform
  • Accessing analytics and reports related to your invoicing activity

3.2 Prohibited Activities

You must not:

  • Create fraudulent, falsified, or misleading invoices
  • Use the Service for money laundering, tax evasion, or any illegal activity
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Use automated tools to scrape, crawl, or extract data from the Service without authorization
  • Share your account credentials with unauthorized third parties
  • Transmit malware, viruses, or any malicious code
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to other users' accounts or our systems
  • Use the Service in any way that violates applicable laws, including Saudi Arabian law

4. ZATCA Compliance Obligations

4.1 User Responsibility

While Fattorty provides tools to facilitate ZATCA compliance, you remain ultimately responsible for:

  • Ensuring your VAT registration is valid and current
  • The accuracy of all invoice data you enter into the system
  • Completing the ZATCA onboarding process correctly
  • Maintaining your ZATCA cryptographic stamp (CSID) as required
  • Retaining invoice records for the legally required period (minimum 7 years)

4.2 Regulatory Changes

ZATCA regulations may change. We will make commercially reasonable efforts to update the Service to reflect regulatory changes, but we cannot guarantee uninterrupted compliance during transition periods. We recommend monitoring ZATCA communications directly.

5. Payment Terms

5.1 Free Plan

The Free plan is provided at no cost. We reserve the right to modify Free plan limits or discontinue the Free plan with 30 days' notice.

5.2 Premium Subscription

  • Premium subscriptions are billed annually in Saudi Riyals (SAR)
  • Payment is due at the start of each billing period
  • Subscriptions automatically renew unless cancelled before the renewal date
  • All prices are inclusive of applicable VAT where required by Saudi law

5.3 Refund Policy

  • Annual subscriptions may be refunded within 14 days of initial purchase if the Service has not been materially used
  • No refunds are issued for partial billing periods after the 14-day window
  • Refund requests must be submitted to [email protected]

5.4 Price Changes

We may change subscription pricing with 30 days' advance notice via email. Price changes take effect at your next renewal date. Continued use after the renewal date constitutes acceptance of the new pricing.

5.5 Failed Payments

If a payment fails, we will attempt to retry the charge. If payment is not received within 7 days of the due date, your account may be downgraded to the Free plan until payment is resolved. Invoice data is preserved during any downgrade period.

6. Intellectual Property

6.1 Our IP

The Service, including all software, design, trademarks, and content created by Fattorty, is our exclusive intellectual property. These Terms do not grant you any ownership rights in the Service.

6.2 Your Content

You retain ownership of all Content you submit to the Service. By submitting Content, you grant us a limited, non-exclusive license to store, process, and transmit your Content solely as necessary to provide the Service, including transmitting invoice data to ZATCA as required by law.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation.

7. Service Availability and Modifications

7.1 Uptime

We target 99.9% uptime for the Service. Scheduled maintenance will be communicated with advance notice where possible. We are not liable for downtime caused by factors outside our reasonable control.

7.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes. Continued use after modifications constitutes acceptance.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied
  • We do not warrant that the Service will be error-free, uninterrupted, or meet your specific requirements
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total liability to you for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Fattorty, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service in violation of these Terms
  • Content you submit that infringes third-party rights
  • Your violation of any applicable law or regulation
  • Fraudulent or inaccurate invoice data you enter into the system

10. Termination

10.1 Termination by You

You may cancel your account at any time through the account settings or by contacting [email protected]. Cancellation takes effect at the end of your current billing period.

10.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You breach these Terms materially
  • You engage in fraudulent or illegal activity
  • Your account remains unpaid for more than 30 days after the due date
  • We are required to do so by law or regulatory authority

10.3 Effect of Termination

Upon termination, your right to access the Service ceases. We will retain your invoice data for the legally required period (7 years) and then securely delete it. You may request an export of your data within 30 days of termination.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in the Kingdom of Saudi Arabia.

Before initiating formal legal proceedings, the parties agree to attempt good-faith negotiation for at least 30 days.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fattorty regarding the Service and supersede all prior agreements.

12.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

12.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.

12.5 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email and in-app notification at least 30 days before they take effect. Your continued use after changes become effective constitutes acceptance.

تحكم شروط الخدمة هذه ("الشروط") وصولك إلى منصة فاتورتي واستخدامك لها، بما في ذلك موقعنا الإلكتروني والتطبيقات على الأجهزة المحمولة وواجهة برمجة التطبيقات (يُشار إليها مجتمعةً بـ "الخدمة"). بإنشائك حساباً أو استخدامك للخدمة، فإنك توافق على الالتزام بهذه الشروط وبـسياسة الخصوصية الخاصة بنا.

يُرجى قراءة هذه الشروط بعناية. إذا كنت لا توافق على هذه الشروط، فلا يجوز لك استخدام الخدمة.

1. التعريفات

  • "فاتورتي" أو "نحن" أو "لنا" — الشركة التي تشغّل الخدمة
  • "المستخدم" أو "أنت" — أي فرد أو جهة تصل إلى الخدمة أو تستخدمها
  • "الحساب" — حسابك المسجَّل على منصة فاتورتي
  • "المحتوى" — البيانات والنصوص والفواتير وغيرها من المواد التي تقدّمها عبر الخدمة
  • "هيئة الزكاة والضريبة والجمارك" — الجهة التنظيمية المسؤولة عن الزكاة والضريبة والجمارك في المملكة العربية السعودية
  • "الاشتراك" — خطة مدفوعة تمنح الوصول إلى ميزات بريميوم

2. شروط الحساب

2.1 الأهلية

لاستخدام الخدمة، يجب أن:

  • يكون عمرك 18 عاماً فما فوق
  • تكون شخصية اعتبارية أو فرداً مرخّصاً بمزاولة الأعمال في المملكة العربية السعودية
  • تقدّم معلومات تسجيل دقيقة وكاملة وحديثة
  • تمتلك رقم تسجيل ضريبة قيمة مضافة سارياً عند استخدام ميزات الإنتاج لدى هيئة الزكاة والضريبة والجمارك

2.2 أمان الحساب

أنت مسؤول عن:

  • الحفاظ على سرية بيانات الدخول الخاصة بك
  • جميع الأنشطة التي تجري ضمن حسابك
  • إخطارنا فوراً بأي استخدام غير مصرَّح به على [email protected]
  • استخدام كلمات مرور قوية وفريدة وتفعيل المصادقة متعددة العوامل عند توفّرها

لسنا مسؤولين عن الخسائر الناتجة عن الوصول غير المصرَّح به إلى حسابك بسبب إخفاقك في حماية بيانات الدخول.

2.3 دقة معلومات الحساب

يجب الحفاظ على دقة معلومات حسابك وتحديثها. تقديم معلومات غير صحيحة — بما في ذلك بيانات السجل التجاري أو أرقام ضريبة القيمة المضافة المزيّفة — يُعدّ إخلالاً جوهرياً بهذه الشروط وقد يؤدي إلى إنهاء الحساب فوراً.

3. الاستخدام المقبول

3.1 الاستخدام المسموح

يجوز لك استخدام الخدمة فقط من أجل:

  • إنشاء وإدارة وإرسال الفواتير الإلكترونية المتوافقة مع هيئة الزكاة والضريبة والجمارك لعمليات نشاطك التجاري المشروعة
  • إدارة بيانات منتجات وعملاء نشاطك التجاري ضمن المنصة
  • الوصول إلى التحليلات والتقارير المتعلقة بنشاط الفوترة الخاص بك

3.2 الأنشطة المحظورة

لا يجوز لك:

  • إنشاء فواتير احتيالية أو مزيّفة أو مضلّلة
  • استخدام الخدمة في غسل الأموال أو التهرّب الضريبي أو أي نشاط غير مشروع
  • محاولة الهندسة العكسية أو فك الترميز أو استخراج الكود المصدري للخدمة
  • استخدام أدوات آلية لاستخراج البيانات أو الزحف إلى الخدمة دون إذن
  • مشاركة بيانات اعتمادك مع أطراف ثالثة غير مصرّح لها
  • إرسال برامج خبيثة أو فيروسات أو أي شيفرة ضارّة
  • التدخل في سلامة أو أداء الخدمة أو تعطيلها
  • محاولة الوصول غير المصرَّح به إلى حسابات مستخدمين آخرين أو أنظمتنا
  • استخدام الخدمة بأي طريقة تخالف الأنظمة المعمول بها، بما فيها أنظمة المملكة العربية السعودية

4. التزامات الامتثال لهيئة الزكاة والضريبة والجمارك

4.1 مسؤولية المستخدم

على الرغم من أن فاتورتي توفّر أدوات لتسهيل الامتثال لهيئة الزكاة والضريبة والجمارك، إلا أنك تظلّ المسؤول الأوّل عن:

  • التأكد من سريان تسجيلك في ضريبة القيمة المضافة
  • دقة جميع بيانات الفواتير التي تدخلها في النظام
  • إكمال عملية تهيئة هيئة الزكاة والضريبة والجمارك بشكل صحيح
  • الحفاظ على ختمك الرقمي (CSID) كما يتطلبه النظام
  • الاحتفاظ بسجلات الفواتير للمدة المطلوبة قانونياً (7 سنوات على الأقل)

4.2 التغييرات التنظيمية

قد تتغير أنظمة هيئة الزكاة والضريبة والجمارك. سنبذل جهوداً تجارية معقولة لتحديث الخدمة بما يعكس التغييرات التنظيمية، لكنّنا لا نضمن استمرارية الامتثال خلال الفترات الانتقالية. ننصح بمتابعة إعلانات الهيئة مباشرة.

5. شروط الدفع

5.1 الخطة المجانية

تُقدَّم الخطة المجانية دون مقابل. نحتفظ بحق تعديل حدود الخطة المجانية أو إيقافها بإشعار مدته 30 يوماً.

5.2 اشتراك بريميوم

  • تُحصَّل اشتراكات بريميوم سنوياً بالريال السعودي (SAR)
  • يُستحقّ الدفع في بداية كل دورة فوترة
  • تتجدّد الاشتراكات تلقائياً ما لم تُلغَ قبل تاريخ التجديد
  • جميع الأسعار شاملة لضريبة القيمة المضافة المعمول بها وفق الأنظمة السعودية

5.3 سياسة الاسترداد

  • يجوز استرداد قيمة الاشتراكات السنوية خلال 14 يوماً من الشراء الأولي إذا لم تُستخدم الخدمة بشكل جوهري
  • لا يتم استرداد قيمة دورات الفوترة الجزئية بعد انقضاء فترة الـ 14 يوماً
  • تُرسَل طلبات الاسترداد إلى [email protected]

5.4 تغيير الأسعار

قد نقوم بتغيير أسعار الاشتراك بإشعار مسبق مدته 30 يوماً عبر البريد الإلكتروني. تسري تغييرات الأسعار من تاريخ التجديد التالي. يُعدّ استمرار الاستخدام بعد التجديد قبولاً للأسعار الجديدة.

5.5 المدفوعات الفاشلة

في حال فشل عملية الدفع، سنحاول إعادة المحاولة. إذا لم نتلقَّ المبلغ خلال 7 أيام من تاريخ الاستحقاق، فقد يُخفَّض حسابك إلى الخطة المجانية حتى يُسوّى الدفع. تُحفظ بيانات الفواتير خلال أي فترة تخفيض.

6. الملكية الفكرية

6.1 ملكيتنا الفكرية

الخدمة، بما في ذلك جميع البرمجيات والتصاميم والعلامات التجارية والمحتوى الذي ينتجه فاتورتي، تُعدّ ملكية فكرية حصرية لنا. لا تمنحك هذه الشروط أي حقوق ملكية في الخدمة.

6.2 محتواك

تحتفظ بملكية جميع المحتوى الذي تقدّمه إلى الخدمة. بتقديمك للمحتوى، تمنحنا ترخيصاً محدوداً وغير حصري لتخزين محتواك ومعالجته وإرساله فقط بالقدر اللازم لتقديم الخدمة، بما في ذلك إرسال بيانات الفواتير إلى هيئة الزكاة والضريبة والجمارك وفقاً لما يستوجبه النظام.

6.3 الملاحظات والمقترحات

إذا قدّمت ملاحظات أو اقتراحات أو أفكاراً حول الخدمة، فإنك تمنحنا الحق في استخدام تلك الملاحظات دون قيد أو مقابل.

7. توفّر الخدمة وتعديلها

7.1 وقت التشغيل

نستهدف وقت تشغيل بنسبة 99.9٪ للخدمة. سيتم الإعلان عن أعمال الصيانة المجدوَلة بإشعار مسبق متى أمكن. لسنا مسؤولين عن فترات التوقف الناتجة عن عوامل خارجة عن سيطرتنا المعقولة.

7.2 التعديلات

نحتفظ بالحق في تعديل أو تعليق أو إيقاف أي جزء من الخدمة في أي وقت. سنُقدّم إشعاراً معقولاً عن التغييرات الجوهرية. يُعدّ استمرار الاستخدام بعد التعديلات قبولاً لها.

8. تحديد المسؤولية

إلى أقصى حد يسمح به النظام المعمول به:

  • تُقدَّم الخدمة "كما هي" و"حسبما هي متاحة" دون أي ضمانات صريحة أو ضمنية
  • لا نضمن أن تكون الخدمة خالية من الأخطاء أو متواصلة دون انقطاع أو ملبّية لمتطلباتك المحددة
  • لسنا مسؤولين عن أي أضرار غير مباشرة أو عرضية أو خاصة أو تبعية أو عقابية ناشئة عن استخدامك للخدمة
  • تقتصر مسؤوليتنا الإجمالية تجاهك عن أي مطالبة ناشئة عن هذه الشروط أو الخدمة على المبلغ الذي دفعته لنا خلال الـ 12 شهراً السابقة للمطالبة

لا يُستثنى أي شيء في هذه الشروط من المسؤولية عن الوفاة أو الإصابة الشخصية الناتجة عن إهمالنا أو احتيالنا أو أي مسؤولية أخرى لا يجوز استبعادها قانوناً.

9. التعويض

توافق على الدفاع عن فاتورتي ومسؤوليها ومديريها وموظفيها ووكلائها وتعويضهم وحمايتهم من أي مطالبات أو أضرار أو خسائر أو نفقات (بما فيها أتعاب المحاماة المعقولة) ناشئة عن:

  • استخدامك للخدمة بما يخالف هذه الشروط
  • المحتوى الذي تقدّمه وينتهك حقوق الغير
  • انتهاكك لأي نظام أو لائحة معمول بهما
  • بيانات الفواتير الاحتيالية أو غير الدقيقة التي تدخلها في النظام

10. الإنهاء

10.1 الإنهاء من قِبلك

يمكنك إلغاء حسابك في أي وقت من خلال إعدادات الحساب أو بالتواصل مع [email protected]. يسري الإلغاء في نهاية دورة الفوترة الحالية.

10.2 الإنهاء من قِبلنا

يجوز لنا تعليق أو إنهاء حسابك فوراً إذا:

  • أخللت بهذه الشروط إخلالاً جوهرياً
  • قمت بنشاط احتيالي أو غير مشروع
  • بقي حسابك دون سداد لأكثر من 30 يوماً بعد تاريخ الاستحقاق
  • كنّا ملزمين بذلك بموجب النظام أو من قِبل جهة تنظيمية

10.3 آثار الإنهاء

عند الإنهاء، يتوقف حقك في الوصول إلى الخدمة. سنحتفظ ببيانات فواتيرك للمدة المطلوبة قانونياً (7 سنوات) ثم نقوم بحذفها بشكل آمن. يمكنك طلب تصدير بياناتك خلال 30 يوماً من الإنهاء.

11. النظام الحاكم وتسوية النزاعات

تخضع هذه الشروط لأنظمة المملكة العربية السعودية. يخضع أي نزاع ناشئ عن هذه الشروط أو الخدمة للاختصاص الحصري للمحاكم المختصّة في المملكة العربية السعودية.

قبل بدء أي إجراءات قضائية رسمية، يتفق الطرفان على محاولة التفاوض بحسن نية لمدة لا تقلّ عن 30 يوماً.

12. أحكام عامة

12.1 الاتفاقية الكاملة

تشكّل هذه الشروط، إلى جانب سياسة الخصوصية، الاتفاقية الكاملة بينك وبين فاتورتي بشأن الخدمة، وتحلّ محلّ جميع الاتفاقيات السابقة.

12.2 قابلية الفصل

إذا تبيّن أن أي حكم من هذه الشروط غير قابل للتنفيذ، تظلّ بقية الأحكام نافذة بالكامل.

12.3 التنازل

إخفاقنا في إنفاذ أي حق أو حكم من هذه الشروط لا يُعدّ تنازلاً عن ذلك الحق أو الحكم.

12.4 التنازل عن الحقوق

لا يجوز لك التنازل عن حقوقك بموجب هذه الشروط دون موافقتنا الخطية المسبقة. يجوز لنا التنازل عن حقوقنا دون قيد.

12.5 تعديلات الشروط

قد نقوم بتحديث هذه الشروط من حين لآخر. سنُخطرك بالتغييرات الجوهرية عبر البريد الإلكتروني وإشعارات داخل التطبيق قبل سريانها بـ 30 يوماً على الأقل. يُعدّ استمرار الاستخدام بعد سريان التغييرات قبولاً لها.
